1. Introduction
These Terms of Service ("Terms") govern your access to and use of QuietList (the "Service"), operated from Scotland, United Kingdom. By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please don't use the Service.
2. Our role
QuietList is a technology platform that helps owners and potential buyers of residential property discover one another privately, before anything goes on the open market.
We are not estate agents, property brokers, or intermediaries. We do not negotiate, arrange, or conduct property sales. All communication and decisions between users occur directly between those users.
We do not list, value, market, appraise, or sell any property. We do not hold deposits or client money, and we do not handle conveyancing. Our role is limited to providing the software that lets users connect on their own terms.
3. No agency relationship
Nothing in our Service creates an agency, partnership, or representation relationship between us and any user. We do not act on behalf of any buyer or seller. We have no authority to make representations, accept offers, or bind any user to any agreement.
Any contract for the sale of a property is formed solely between the buyer and the seller, through their own solicitors and in accordance with applicable law. QuietList is not a party to that contract.
4. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By using QuietList you confirm that you meet these requirements and that the information you provide is accurate, current, and complete.
5. Your account
You're responsible for keeping your login credentials secure and for all activity under your account. Tell us promptly if you suspect any unauthorised access. We may suspend or close accounts that breach these Terms or that we reasonably believe are being used to harm other users or the Service.
6. User responsibilities
Users are solely responsible for verifying property details, conducting viewings, negotiating terms, and completing any transaction.
In particular, you agree that:
- Sellers are responsible for the accuracy of any listing information they publish, including address, price, condition, photos, and disclosures required by law.
- Buyers are responsible for carrying out their own due diligence, including surveys, searches, finance checks, and legal advice.
- Both parties are responsible for arranging viewings safely, agreeing on terms, instructing their own solicitors, and completing the transaction.
- You will treat other users courteously and lawfully, and you will not use the Service to harass, defraud, or mislead.
7. Acceptable use
You agree not to:
- List a property you don't own or aren't authorised to offer.
- Post false, misleading, or unlawful content, including inflated valuations or fictitious listings.
- Use the Service to circumvent privacy controls, scrape data, or contact users outside the platform without their consent.
- Reverse engineer, interfere with, or attempt to gain unauthorised access to the Service.
- Use the Service for any commercial purpose other than the private discovery and sale of your own residential property.
8. Your content
You retain ownership of the content you upload (listings, photos, descriptions, messages). By uploading it, you grant us a worldwide, non-exclusive, royalty-free licence to host, display, and process it solely as needed to operate and improve the Service.
You confirm you have the right to share the content you upload and that it doesn't infringe anyone else's rights or breach any law.
9. Fees
Where the Service is offered free of charge, we reserve the right to introduce paid features in the future. We will give you reasonable notice before any fees apply to you and you'll always have the option to stop using a paid feature.
10. Disclaimer
The Service is provided "as is" and "as available". We don't guarantee that listings are accurate, that buyers or sellers are who they claim to be, that any sale will complete, or that the Service will be uninterrupted or error-free.
You use the Service at your own risk and should always seek independent legal, financial, and surveying advice before committing to a property transaction.
11. Limitation of liability
To the fullest extent permitted by law, QuietList is not liable for any loss of profit, loss of opportunity, loss of data, or any indirect or consequential loss arising from your use of the Service or from any dealings between users. Nothing in these Terms limits liability that cannot lawfully be limited (such as for death or personal injury caused by our negligence, or for fraud).
12. Indemnity
You agree to indemnify QuietList against any claims, losses, or expenses arising from your breach of these Terms, your content, or your dealings with other users.
13. Suspension and termination
You can close your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms, if we're required to do so by law, or if we discontinue the Service. On termination, the clauses that by their nature should survive (including liability, indemnity, and governing law) will continue to apply.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be flagged in-app or by email. The "last updated" date at the top will always reflect the current version. Continued use of the Service after changes take effect means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of Scotland, and disputes will be subject to the exclusive jurisdiction of the Scottish courts (without prejudice to any mandatory consumer rights you may have in your country of residence within the UK).
